2. User Accounts and Responsibilities

- Registration: You may be required to create an account to access certain features. You agree to provide accurate and complete information.

- Security: You are responsible for maintaining the confidentiality of your account credentials.

- Unauthorized Access: You must notify us immediately of any unauthorized use of your account.

- Prohibited Conduct: You agree not to use our services for any illegal purpose, including but not limited to unauthorized access to data, spreading malware, or violating the Prevention of Electronic Crimes Act (PECA) 2016 of Pakistan, the UK Computer Misuse Act 1990, or the US Computer Fraud and Abuse Act (CFAA).

3. Intellectual Property

- Nervea Content: All content on nervea.net, including text, graphics, logos, and software, is the property of Nervea and is protected by copyright and intellectual property laws.

- Client Deliverables: Upon full payment, you are granted a non-exclusive, non-transferable license to use the custom-developed AI agents, websites, and automation workflows for your internal business purposes.

- Restrictions: You may not reverse engineer, decompile, or attempt to extract the source code of our proprietary AI models or automation frameworks.

4. Payment and Fees

- Pricing: Fees for services are outlined in individual project proposals or subscription plans.

- Payment Terms: Payments are due according to the schedule specified in your service agreement.

- Late Payments: Nervea reserves the right to suspend services for overdue accounts.

- Refunds: Refund policies are project-specific and will be detailed in your service contract.

5. Data Usage and Business Optimization

By using our services, you grant Nervea a worldwide, non-exclusive, royalty-free license to use, process, and analyze the data you provide for the following purposes:

- Service Fulfillment: Delivering the contracted automation and digital solutions.

- Business Optimization: Analyzing anonymized and aggregated data to improve our AI models, algorithms, and service efficiency.

- Lead Generation: Utilizing interaction data to identify potential business opportunities and optimize our marketing strategies.

- Internal Reporting: Creating performance benchmarks and industry insights for our business operations.

Note: All data usage will be conducted in accordance with our Privacy Policy and applicable data protection laws (UK GDPR, CCPA, HIPAA, PECA).

6. Limitation of Liability

- Service Accuracy: While we strive for excellence, Nervea does not guarantee that AI agents or automations will be error-free or achieve specific business results.

- Indirect Damages: To the maximum extent permitted by law, Nervea shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data.

- Maximum Liability: Our total liability for any claim related to our services shall not exceed the amount paid by you to Nervea in the 12 months preceding the claim.

7. Indemnification

You agree to indemnify and hold Nervea, its affiliates, and employees harmless from any claims, losses, or damages arising out of your use of our services or your violation of these Terms.

8. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United States of America. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Islamabad, Pakistan. However, for users in the UK or USA, certain mandatory consumer protection laws may apply.

9. Global Compliance

Both parties agree to comply with the provisions of:

- Pakistan: Prevention of Electronic Crimes Act (PECA) 2016.

- United Kingdom: UK General Data Protection Regulation (UK GDPR) and Data Protection Act 2018.

- United States: California Consumer Privacy Act (CCPA/CPRA) and Health Insurance Portability and Accountability Act (HIPAA).

HIPAA Business Associate Agreement (BAA)

For clients handling Protected Health Information (PHI), Nervea will execute a separate Business Associate Agreement (BAA) as required by HIPAA to ensure the security and privacy of electronic PHI (ePHI).

Nervea reserves the right to report any suspected cybercrimes to the relevant authorities in any jurisdiction as required by law.

10. Termination

We reserve the right to terminate or suspend your access to our services at any time, without prior notice, for conduct that we believe violates these Terms or is harmful to other users or Nervea's business interests.

11. Changes to Terms

Nervea may update these Terms from time to time. Your continued use of our services after any changes constitutes your acceptance of the new Terms.
